1.1. These Terms and Conditions ("Terms") govern your access to and use of the website located at www.waifugala.com and any related pages, content, and functionality (the "Website").
1.2. The Website is owned and operated by Nutaku Entertainment Ltd, having its corporate address located at 195-197 Old Limassol Nicosia Road, Block 1, Dali Industrial Zone, 2540, Nicosia, Cyprus ("we", "us", "our").
1.3. By accessing or using the Website, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Website.
2.1. The Website contains age-restricted materials, including nudity and explicit depictions of a sexual nature. The Website is intended for users who are at least 18 years of age (or the age of majority in their jurisdiction, if higher).
2.2. By accessing or using the Website, you represent and warrant that: (a) you are at least 18 years of age (or the applicable age of majority, if higher); (b) you understand and acknowledge the explicit nature of the materials available on the Website; and (c) the jurisdiction from which you access the Website does not prohibit you from accessing or viewing sexually explicit content on the Website.
2.3. All characters appearing on the Website are fictitious visual representations intended to be eighteen (18) years of age or older. Any resemblance to real persons, living or dead, is purely coincidental.
2.4. We may restrict access to the Website, or to particular features, in certain territories. You are responsible for ensuring that your use of the Website is lawful in the jurisdiction from which you access it.

In the event of any conflict or inconsistency between these Terms and any Specific Terms in relation to a matter specifically addressed by those Specific Terms, the Specific Terms will prevail to the extent of that conflict. Similarly, in the event of any conflict or inconsistency regarding the processing of your personal data, the Privacy Notice will prevail to the extent of that conflict.
In all other respects, these Terms continue to apply in full.
4.1. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted. We may suspend, withdraw, restrict, or amend all or any part of the Website for business or operational reasons.
4.2. The Website, or particular features of it, may be made available only for a limited period. We may reduce, disable, or remove functionality at any time, whether temporarily or permanently.
5.1. Certain features of the Website may require you to sign in using a third-party service, such as Google ("Third-Party Sign-In").
5.2. Your use of any Third-Party Sign-In is subject to the terms and privacy policies of the relevant third-party provider. We are not responsible for those services, and their inclusion does not imply any endorsement by, or affiliation with, us.
5.3. You are responsible for maintaining the confidentiality and security of any account or credentials you use to access the Website, and for all activity that occurs under them.

The Website may contain links to third-party websites or resources. Such links are provided for your convenience only and do not signify our endorsement. We have no control over, and accept no responsibility for, the content or availability of those third-party sites.
9.1. The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, express or implied, in respect of the Website or its content, including as to accuracy, completeness, or fitness for a particular purpose.
9.2. Nothing in these Terms excludes or limits any statutory rights you may have as a consumer that cannot lawfully be excluded or limited.
10.1. To the fullest extent permitted by law, we will not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with your use of, or inability to use, the Website.
10.2. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
Your personal data will be processed in accordance with our Privacy Notice, which explains what data we collect, how we use it, the legal bases on which we rely, and your rights.
We may amend these Terms from time to time. The version in force is the one published on the Website at the time you access it. We recommend that you review these Terms periodically.
13.1. If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, the court or authority should endeavour to give effect to the intentions of the parties as reflected in that provision, and the remaining provisions of these Terms shall remain in full force and effect.
13.2. No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of it preclude any further exercise. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
13.3. These Terms, and any rights and obligations under them, may not be transferred or assigned by you, but may be assigned by us without restriction.
14.1. These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of Cyprus.
14.2. The courts of Cyprus will have exclusive jurisdiction to settle any such dispute or claim, subject to any mandatory rights a consumer may have to bring proceedings in their country of residence.

1.1. The Waifu Gala giveaway (the "Giveaway") is organized by Nutaku Entertainment Ltd, a company duly registered under the laws of the Republic of Cyprus, having its business address located at 195-197 Old Limassol Nicosia Road, Block 1, Dali Industrial Zone, 2540, Nicosia, Cyprus (the "Organizer", "we", "us", "our"), with Steam Gift Cards provided by Valve Corporation ("Steam"). The Organizer is solely responsible for the organization and administration of the Giveaway.
1.2. The Giveaway is run in connection with the "Waifu Gala" event and associated character-voting process (the "Awards") hosted at www.waifugala.com (the "Website").
1.3. By entering this Giveaway, you agree to these terms and conditions (the "Giveaway Rules"). Participants are advised to read the Giveaway Rules carefully before entering.
1.4. The Organizer's Website Terms and Conditions and Privacy Notice apply in conjunction with these Giveaway Rules. In the event of any conflict between the Website Terms and Conditions and these Giveaway Rules in relation to a matter specifically addressed by these Giveaway Rules, these Giveaway Rules shall prevail to the extent of that conflict.
2.1. The Giveaway is open to eligible Participants (as defined below) globally, except in jurisdictions where participation in the Giveaway, access to the Website, or adult content in general is restricted, regulated, or prohibited by applicable domestic laws or regulations. Participants are solely responsible for ensuring their eligibility to participate under their applicable domestic laws and regulations, including but not limited to age restrictions, content restrictions, gambling laws, and promotional contest regulations.
2.2. Eligible Participants can be anyone who meets all of the following criteria (each a "Participant"):
The Organizer reserves the right to request proof of eligibility from any Participant at any time, including proof of age and identity.
2.3. A Participant must also, in order to receive and redeem any Prize: (a) have, or be able to obtain, a valid and active Steam account in good standing; and (b) be located in, and able to provide a Steam account for, a region in which the relevant Steam Gift Card can be validly issued and redeemed. Prizes are issued as region-locked Steam Gift Cards redeemable only on the Steam platform (see clause 5). A Participant who does not meet these requirements may have their Prize forfeited and an alternative winner drawn in accordance with clause 6.
2.4. For the avoidance of doubt, this Giveaway shall be void where it is prohibited by applicable laws or regulations, where access to adult content is restricted or prohibited, or where participation in the Giveaway is in any way prohibited.
2.5. The Organizer reserves the right to disqualify any Participant from jurisdictions where the Giveaway is prohibited, restricted, or regulated, and to require additional verification of eligibility and compliance with local laws at any time during the Giveaway Period.
2.6. No purchase or payment of any money is necessary to enter or win the Giveaway. Making a purchase does not increase your chances of winning. The Golden Vote is free of charge and there is no paid or alternative method of obtaining a Golden Vote or additional entries.
2.7. Employees, agents, directors, and their immediate families (spouse, parents, children, siblings, and each of their spouses regardless of where they live) or members of households of the Organizer and its parent company, subsidiaries, affiliates, or advertising, design, print production and publicity agencies, and anyone connected with the production and distribution of the Giveaway, are not eligible to enter the Giveaway or be awarded a prize.
The Giveaway shall commence on 27 July 2026 at 00:00 UTC and shall end on 10 August 2026 at 23:59 UTC (the "Giveaway Period"). Entries received outside the Giveaway Period will not be accepted.
4.1. To enter the Giveaway, a Participant must, during the Giveaway Period, sign in on the Website using a Google account and cast a "Golden Vote" via the Website.
4.2. Each Participant is entitled to one (1) entry only, linked to a single Google account, regardless of the number of accounts or sign-in methods available to them. An entry is valid only once the Participant has successfully signed in and cast the Golden Vote.
4.3. The creation, acquisition, or use of multiple accounts or email addresses for the purpose of participating in the Giveaway is strictly prohibited and constitutes grounds for immediate disqualification. If the Organizer has reasonable suspicion that a Participant is using or attempting to use multiple accounts or sign-in methods to enter the Giveaway (including by using different browsers or devices, or private/incognito browsing), engaging in account sharing, or using purchased or borrowed accounts, the Organizer shall have the right to immediately disqualify such Participant, void all associated entries, and ban the Participant from future promotions.
5.1. The prize pool consists of Steam Gift Cards as follows:
(each a "Prize" and collectively the "Prizes").
5.2. The Prizes may be redeemed and used only on Steam. To be able to redeem a Prize, you will need to have and maintain a valid Steam account.
5.3. Each Prize is non-transferable and non-exchangeable. Steam Gift Cards are region-locked and can only be redeemed in the region for which they are issued. The redemption, validity, and expiry (if any) of each Steam Gift Card are governed solely by Steam's Terms of Service and Gift Card Terms of Use, as applied and amended by Steam from time to time, and the winning Participant acknowledges that Steam Gift Cards are subject to Steam's terms, conditions, and expiration policies. The Organizer gives no warranty as to the validity or redemption period of any Steam Gift Card.
5.4. The Organizer bears no responsibility and shall not be liable if:
5.5. No prize substitutions are allowed, except in cases of force majeure or unavailability of a Prize. In such cases, the Organizer reserves the right to substitute the Prize with another of equal or greater value. There is no cash alternative, in whole or in part.
6.1. Subject to compliance with all terms set out herein, all valid entries received during the Giveaway Period will be grouped together, and the winning Participants will be selected through a verifiable random selection process conducted by the Organizer using an automated system. The random selection process shall be conducted after the end of the Giveaway Period, and winning Participants shall be notified by 17 August 2026 in accordance with this clause 6.
6.2. No Participant may win more than one (1) Prize.
6.3. Winning Participants will be notified privately using the Google email address used to sign in when casting the Golden Vote, by 17 August 2026, and informed which Prize they have won.
6.4. To claim a Prize, a winning Participant must, within three (3) business days of the notification being sent, respond to the notification and confirm a region in which the relevant Steam Gift Card can be validly issued and redeemed on Steam (as Steam Gift Cards are region-locked). Upon confirmation, the Organizer will send the digital code for the relevant Steam Gift Card by email.
6.5. The Organizer reserves the right to forfeit a Prize and draw an alternative winner if a winning Participant:
The Organizer shall have no liability to any Participant whose Prize is forfeited on any of these grounds.
The Organizer reserves the right to disqualify any Participant who, in the Organizer's absolute discretion:
8.1. The Organizer will process the personal data collected in connection with the Giveaway (including the email address used to sign in) solely for the purposes of administering the Giveaway, selecting winners, and delivering Prizes, in accordance with the Privacy Notice.
8.2. Personal data of Participants will be retained only for as long as necessary for those purposes and will then be deleted, in accordance with the Privacy Notice.
8.3. The Organizer will only use a Participant's personal data for marketing or promotional purposes where the Participant has given separate, specific, and freely given consent to such use, by means of a distinct opt-in that is separate from, and not a condition of, entry into the Giveaway. A Participant who does not provide such consent may still enter and participate in the Giveaway on equal terms. Participants may withdraw their marketing consent at any time, without affecting the lawfulness of processing carried out before withdrawal, as described in the Privacy Notice or by contacting us using our webform.
9.1. To the fullest extent permitted by law, the Participant agrees to indemnify and hold harmless Steam, the Organizer, and their respective directors, officers, employees, shareholders, agents, representatives, successors, and assigns (collectively, the "Indemnitees") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Participant's breach of these Giveaway Rules; (b) the Participant's violation of any applicable law or of any third-party right (including any intellectual property, publicity, or privacy right); or (c) the Participant's misuse of any Prize. This indemnity does not apply to the extent that any claim arises from the Indemnitees' own negligence, wilful misconduct, or breach of applicable law.
9.2. The Participant further agrees to release the third-party sign-in platform used in connection with this Giveaway (Google) from any liability related to the Giveaway.
10.1. Participation in the Giveaway is at the Participant's own risk. To the maximum extent permitted by Cyprus law, neither the Organizer nor any other Giveaway contributing entity (e.g., Steam) shall be held responsible for any damage or loss the Participant may suffer due to participation in the Giveaway, including any loss or damage due to any virus, bugs, technical issues, server failures, connectivity issues, or other malfunctions. The Organizer is not responsible for any lost, late, incomplete, invalid, unintelligible, or misdirected entries, which will be disqualified.
10.2. The Organizer reserves the right, in its sole discretion, to modify, cancel, or suspend this Giveaway or these Giveaway Rules at any time, without prior notice, including for reasons beyond its reasonable control or to comply with applicable law. In the event of cancellation or suspension, the Organizer shall make reasonable efforts to notify Participants through the Website or other appropriate means.
10.3. This Giveaway is in no way sponsored, endorsed, administered by, or associated with Steam, Valve Corporation, or Google.
10.4. By participating in this Giveaway, each Participant agrees to abide by these Giveaway Rules, the Organizer's Website Terms and Conditions, and Steam's terms and conditions, and the decisions of the Organizer, whose decisions are final and binding.
11.1. This Giveaway shall be governed by the laws of the Republic of Cyprus, without regard to its conflict of law rules. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. If any provision of these Giveaway Rules is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
11.2. By participating in this Giveaway, the Participant irrevocably agrees that any and all disputes, claims, and causes of action arising out of or in connection with the Giveaway or the award of any Prize, as well as any issues concerning the validity, interpretation, and enforceability of these Giveaway Rules, shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus, subject to any mandatory rights a consumer may have to bring proceedings in their country of residence.
